Introduction

Welcome to The Fit Network (TFN, we, us, or our), a platform connecting fitness enthusiasts, professionals, and businesses through our technology, events, and an optional scoring system. By accessing or using our website, mobile app, or services (collectively, the Platform), you agree to these Terms and Conditions (Terms). If you do not agree, please refrain from using the Platform.

 1. Acceptance of Terms

1.1. By registering, accessing, or participating in TFN’s Platform, you confirm you are at least 18 years old (or the age of majority in your jurisdiction) and agree to these Terms, our Privacy Policy, and any rules for specific events or hubs.

1.2. We may update these Terms periodically, as well as our pricing. Continued use after updates constitutes acceptance. Significant changes and all pricing changes will be notified via email or Platform announcements.

 2. The Fit Network Overview

2.1. TFN facilitates connections through: our mobile APP and website.

2.2. Scoring System: An optional feature to track the community’s opinion about the users’ fitness level (see Section 3).

2.3. The Platform promotes collaboration, idea‑sharing, and fitness growth in an inclusive environment. All participation is subject to these Terms.

 3. Optional Scoring System

3.1. **Nature of the Scoring System**

The scoring system is an optional feature designed to gather the opinion of other members and gauge progress towards goals. They do not confer financial rewards, membership benefits, or legal rights.

3.2. **Voluntary Participation**

* **Opt‑In:** Participation is entirely optional. You can access other TFN features without joining the scoring system. Opt in/out via account settings.

* **Opt‑Out:** You may disable scoring and/or make your score private, at any time. Non‑participation does not affect membership or access.

* **No Obligation:** TFN imposes no requirement to participate, and opting out carries no penalties.

  3.3. **Data and Accuracy**

  Scores are based on user inputs and each user issues scores entirely up to their discretion. TFN does not guarantee score accuracy, as calculations depend on user honesty and algorithms. Disputes are resolved at TFN’s discretion. Scoring data is handled per our Privacy Policy, and opting in implies consent to its collection.

  3.4. **Limitations**

  Scores are non‑transferable, non‑sellable, and non‑redeemable. TFN may modify or discontinue the scoring system without liability. Misuse (e.g., falsifying activities or any violation of our code of conduct) may lead to point forfeiture or account suspension.

 4. Membership and Account

4.1. **Registration:** Create an account with a unique email and password. You are responsible for securing login details.

4.2. **Eligibility:** Open to individuals 18+ seeking fitness networking. Businesses may join with TFN approval.

4.3. **Conduct:** Act respectfully, avoid harassment, and comply with our Code of Conduct (e.g., no unauthorized soliciting).

4.4. **Suspension/Termination:** TFN may suspend or terminate accounts for violations, disruptive behavior, or legal non‑compliance, at our discretion.

 5. User Responsibilities

5.1. **Accuracy:** Provide truthful information for sign‑up and scoring (if opted in).

5.2. **Compliance:** Adhere to local laws, hub guidelines, and safety protocols during events.

5.3. **Risk:** Fitness activities carry inherent risks. You participate at your own risk and should consult a physician if needed.

5.4. **Content:** Posted content (e.g., comments, photos) must be lawful, non‑offensive, and not infringe rights. You grant TFN a license for Platform use.

6. Fees and Payments

6.1. **Membership:** Some plans require fees, disclosed at sign‑up or booking. Many features are free. You may cancel your membership at any time. The contracted plan will remain active until the end of its period. No refunds issued on terminated plans.

6.2. **Scoring System:** No fees apply for opting in.

6.3. **Refunds:** Fees are non‑refundable unless specified.

6.4. **Conversation & Services Credits:** Our membership plans grant access to conversation initiation credits and discounted products and services. Credits are consumed every time a user initiates a conversation by clicking the messenger button or clicks on another user's social media account icons (independently of the content the target user linked to these icons).

6.5. **Credit Reset:** All credits reset at the end of the monthly period (e.g. unused credits on a free account will reset to 3, one month after subscription creation). Unused credits do not carry over to the following plan nor cycle.

6.6. Referral Earnings.

“Net Earnings” means net revenue actually received by TFN from qualifying transactions attributable to a referral, excluding taxes, refunds/chargebacks, discounts, app-store commissions, payment-processing fees, and other third-party costs.

(a) Accrual. Referral credit is issued only upon a qualifying, completed paid transaction by the referred user. TFN does not grant rewards for app installs, account registrations, ratings, or reviews.

(b) Use. Depending on your membership plan, Referral Earnings and/or credits may be redeemable for designated services or benefits. Where earnings or credits are redeemable for digital features or content within the iOS app, TFN will offer equivalent access via Apple In-App Purchase to comply with App Store policies. Earnings/credits are non-transferable and have no cash value except as expressly permitted in this Section.

(c) Cashback (if available for your plan). Cashback may require identity and tax verification (e.g., W-9/W-8) and will be disbursed via a third-party payout provider. Minimum payout thresholds, processing timelines, currency conversion, and administrative fees may apply and may be deducted from the payout. Cashback is unavailable where prohibited by law.

(d) Adjustments; Compliance. TFN may withhold, reverse, suspend, or terminate earnings or cashbacks in cases of refunds, chargebacks, suspected fraud or abuse, violation of these Terms, legal/compliance requirements, or program changes, with notice where feasible.

(e) No Employment Relationship. Participation in referral or cashback programs does not create an employment, partnership, or agency relationship with TFN.

(f) Geographic Restrictions. Availability varies by country; TFN may restrict participation to comply with local laws.

7. Liability and Disclaimers

7.1. **No Warranty:** The Platform, including the scoring system, is provided as is. TFN does not guarantee uninterrupted access, score accuracy, or fitness outcomes.

7.2. **Liability Limit:** To the fullest extent permitted by law, TFN is not liable for injuries, damages, or losses from Platform use, events, or scoring reliance.

7.3. **Fitness Risks:** You acknowledge fitness activities involve risks (e.g., injury). TFN is not responsible for health outcomes.

7.4. **Third Parties:** TFN is not liable for actions of users, vendors, or linked third‑party services.

 8. Intellectual Property

8.1. **TFN IP:** TFN’s logo, content, and scoring system design are our property. Use without permission is prohibited, except for personal, non‑commercial purposes.

8.2. **Your Content:** You retain rights to your content but grant TFN a license to display or promote it on the Platform.

 9. Privacy

9.1. **Data Handling:** Your data, including scoring inputs, is handled per our Privacy Policy. Opting into scoring implies consent to data collection for points and dashboards.

10. Termination

 

10.1. **By You:** Cancel your account via settings. Scoring data will be deleted if opted in.

10.2. **By TFN:** We may terminate accounts for breaches, with notice where feasible.

10.3. **Effect:** Termination ends access to non‑public features. Paid fees are non‑refunded.

 11. Governing Law

These Terms are governed by the laws of Florida, United States of America. Disputes will be resolved in Florida courts.

 12. Miscellaneous

12.1. **Entire Agreement:** These Terms, Code of Conduct and Privacy Policy form the full agreement.

12.2. **Severability:** Invalid provisions do not affect others.

12.3. **No Waiver:** Failure to enforce a term does not waive it.

13. Additional Provisions

**13.1. Mandatory Arbitration & Class‑Action Waiver**

Any dispute arising under these Terms will be resolved by binding individual arbitration under the American Arbitration Association’s rules. You waive any right to collective or class proceedings.

**13.2. Communications Consent**

By providing your email address or phone number, you consent to receive transactional and promotional messages from TFN (e.g. updates, offers, reminders). You may opt out at any time via unsubscribe links or by contacting [support@thefitnetwork.net].

**13.3. EU & California Privacy Rights**

If you reside in the EU or California, you have additional rights under GDPR and CCPA to access, correct, delete, or port your personal data; to restrict processing; to withdraw consent; and to opt out of sale.
